Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Forkrado Studio platform and related services (the "Service") provided by Forkrado LLC ("Forkrado"), based in Denver, Colorado, United States. By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.

1. The Service

Forkrado provides an AI-powered platform that helps restaurants and local merchants manage their online presence, customer channels, content, and marketing, including optional integrations with third-party platforms such as Google Business Profile, Meta (Facebook and Instagram), point-of-sale providers (Clover and Square), and Stripe for payments.

2. Accounts and Eligibility

You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. You must be legally able to enter into these Terms and use the Service in compliance with applicable laws.

3. Connected Third-Party Platforms

The Service lets you connect third-party accounts, including Google Business Profile, Meta (Facebook and Instagram), point-of-sale providers (Clover and Square), and Stripe. When you connect a platform, you authorize Forkrado to access and act on that platform on your behalf to provide the features you enable. Your use of any third-party platform is also subject to that platform's own terms, including the Meta Platform Terms. Our access to and use of Google user data is described in our Privacy Policy and complies with the Google API Services User Data Policy, including its Limited Use requirements.

4. Payments

If you enable payments, transactions are processed by Stripe under Stripe's own agreements and Privacy Policy. Card details are submitted directly to Stripe; Forkrado does not store full card numbers. You are responsible for the accuracy of your pricing, taxes, fulfillment, and for handling refunds and disputes for orders placed through the Service. Forkrado is not a party to the transaction between you and your customers.

5. Acceptable Use

• Do not use the Service for unlawful, harmful, or fraudulent purposes.
• Do not attempt to gain unauthorized access to the Service or its data.
• Do not publish content that is illegal, infringing, or violates a connected platform's policies.
• Do not interfere with or disrupt the integrity or performance of the Service.
• You are responsible for the customer personal data you process through the Service and for obtaining any consent it requires.
• Comply with applicable marketing laws, including the TCPA and the CAN-SPAM Act, and honor recipients' opt-out requests.

6. Your Content

You retain ownership of the content and data you provide or connect. You grant Forkrado a limited license to host, process, and transmit that content solely to operate and provide the Service to you.

7. Intellectual Property

The Service, including its software, design, and trademarks, is owned by Forkrado and its licensors and is protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, Forkrado will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising from or related to your use of the Service.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. Upon termination, your right to use the Service ends; sections that by their nature should survive will survive.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law and Venue

Forkrado LLC is based in Denver, Colorado, United States. These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in Denver, Colorado, and you consent to their personal jurisdiction.
